By means of External Resolution Number 100-00005 the Superintendency of Companies established the dates in which the entities (i) subject to their surveillance or control and/or (ii) are required by means of a particular administrative resolution, must submit Financial Statements with cut to December 31, 2020 and additional documents.
Along with the information above mentioned, it must be submitted a copy of the Minutes of the meeting of the Highest Corporate Body in which it was considered and approved the financial statements.
The deadline for sending the aforementioned information is set based on the last two digits of the Tax National Registry (“NIT”) of the company. The submissions begin for the first group on April 12, 2021 and end for the last group on May 7, 2021.
The consolidated financial statements and additional documents must be submitted no later than May 31, 2021.
The aforementioned Circular also establishes the submission deadlines for (i) Report 42 of Corporations Practices, (ii) Report 52 –Programs of Corporate Transparency and Ethics and (iii) Report 50 –Prevention Risk of ML/TF.
Not complying with the submission of the Financial Statements as of December 31, 2020 and additional documents within the terms applicable to each company could lead to the initiation of investigations and the imposition of fines (of up to 200 minimum monthly legal wages) by the Superintendency of Companies.
